Terms of Service
These Terms of Service (“Terms”) govern access to and use of MyShop Services websites, accounts, and products, including Orgill-to-Shopify catalog and inventory integration services (collectively, the “Services”). By creating an account, signing an order form, or using the Services, you agree to these Terms.
1. Eligibility and accounts
You must have authority to bind the business you represent. You are responsible for safeguarding login credentials and for activity under your account. Provide accurate registration and billing information.
2. Description of Services
We provide software and managed integration services that may include importing Orgill catalog and inventory data, normalizing product information, and publishing to Shopify stores on a schedule or on demand. Features, limits, and environments may vary by subscription plan and configuration.
3. Customer responsibilities
- Maintain valid Orgill dealer access and Shopify store credentials required for the Services.
- Ensure you have rights to process and publish data you instruct us to sync.
- Comply with Shopify, Orgill, and applicable payment gateway terms.
- Review synced catalog, pricing, and inventory outcomes in your store on a timely basis.
4. Fees and taxes
Fees are as stated in your order form, invoice, or published plan. Unless stated otherwise, fees are billed in advance and are non-transferable. Taxes (including GST where applicable) may be charged in addition to subscription fees.
5. Acceptable use
You must comply with our Acceptable Use Policy. We may suspend or terminate access for violations, security risk, non-payment, or legal compulsion.
6. Intellectual property
We retain all rights in the Services, software, documentation, and branding. You retain rights in your business data, store content, and credentials. You grant us a limited license to process your data solely to provide and improve the Services.
7. Third-party services
The Services interoperate with third parties such as Orgill, Shopify, cloud hosting, email, and analytics providers. Those services are subject to their own terms. We are not responsible for outages, API changes, or policy enforcement by third parties.
8. Disclaimers
The Services are provided on an “as is” and “as available” basis. We do not warrant uninterrupted or error-free operation, or that synced data will be free from vendor-source inaccuracies.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees paid by you to us for the Services in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or lost-profit damages.
10. Term and termination
Subscriptions renew as stated in your plan or order. Either party may terminate for material breach not cured within a reasonable period after notice. Upon termination, access ends and we may delete or anonymize service data according to our Privacy Policy, subject to legal retention needs.
11. Governing law
These Terms are governed by the laws of India. Courts in Pune, Maharashtra shall have exclusive jurisdiction, subject to mandatory consumer protections that may apply.
12. Changes
We may update these Terms by posting a revised version on this site. Material changes for paid subscriptions will be notified by email or account notice where practicable. Continued use after the effective date constitutes acceptance.
